Terms of Use

1. Acceptance of the Terms

By creating an account, accessing or using Theros, you represent that you:

• Have read, understood and fully agree to these Terms of Use and our Privacy Policy.
• Have the legal capacity to enter into this agreement (age of majority — 18 years of age or older).
• Use the app in your own name or are duly authorized to act on behalf of a third party.

If you do not agree with any provision of these terms, do not use the app.

2. Description of the Service

Theros is a personal finance management and productivity app that offers:

• Complete financial management: transactions, budgets, goals, investments, income and PLR (profit sharing).
• An artificial intelligence assistant via text and voice (Google Gemini).
• Reading of receipts via OCR and scheduled agents for automatic analyses.
• Optional integrations with Google Calendar and Gmail.
• Productivity: tasks, notes, lists, Kanban boards, contacts and location-based reminders.
• Reports, charts and data export.

3. Registration and Account

3.1 Requirements

• You must be at least 18 years old to use Theros.
• You must provide true, accurate and complete information when creating your account.
• Each account is personal and non-transferable.

3.2 Account security

• You are responsible for maintaining the confidentiality of your password and access PIN.
• You are responsible for all activities carried out in your account.
• Notify us immediately (rafaelfurlan@lunanexgen.com) in the event of unauthorized use of your account.
• Theros will never ask for your password by e-mail, chat or any other channel.

4. Plans and Subscription

4.1 Available plans

Theros offers different levels of access:

Premium	Full access with maximum usage limits

4.2 Payment and renewal

• Subscriptions are processed by the Apple App Store (iOS) or the Google Play Store (Android).
• Renewal is automatic at the end of each billing period, unless canceled beforehand.
• Subscription management (cancellation, plan change) must be done directly in your device's app store.
• Billing is performed by Apple or Google in accordance with the policies of the respective store.

4.3 Cancellation and refunds

• You can cancel your subscription at any time through the app store settings.
• Cancellation takes effect at the end of the period already paid — you keep access until that date.
• Refunds are processed in accordance with the policies of the Apple App Store or Google Play Store.
• When you return to the free plan, features restricted to paid plans will become unavailable and your data remains, with a single exception: if your storage exceeds the free plan quota, the process described in the "Expiring paid plan" section of the Privacy Policy applies (30-day grace period, notices, freezing of new uploads and, from day 90 and only if the notifications for days 0, 21 and 28 were delivered, automatic removal of excess images and PDFs, from oldest to newest; text, app data, health documents and items marked "keep" are never deleted automatically). Renewing the plan cancels the process, and you can download your data beforehand.

4.4 AI usage limits

Each plan includes a monthly AI usage allowance, which may be measured in tokens (the unit in which AI models read and write text) or in another unit indicated in the app, in addition to daily and per-feature limits (for example, web search, photo analysis and voice chat), to protect the stability of the service. As a result:

• the number of messages that fit within the allowance varies depending on the size and complexity of what you ask (a short request consumes less; a request with attachments, several tools or a long response consumes more). Any number of messages displayed in the app is an estimate, not a guarantee;
• the allowance renews every month (calendar month in Brasilia time) and the unused portion does not roll over, except as your plan expressly states;
• when the allowance or a limit runs out, the corresponding AI feature may become unavailable until the period renews, and we may offer a plan change;
• web search has a daily limit per plan (currently: not included in the Free plan; 3 queries per day on Essential, 20 on Pro and 50 on Premium) and may become temporarily unavailable or be handled by an alternative service when Theros's global monthly query limit is reached;
• we show your usage in the app; small differences due to rounding or update timing may occur.

The prices of each plan and the quantities above may be adjusted under the terms of section 23.

4.5 Usage bonuses and friend referrals

Theros may grant AI usage bonuses (for example, for referring friends, campaigns or courtesies) and trial periods. Unless the offer states otherwise:

• the bonus is valid for 30 (thirty) days from the date it is granted; at the end of that period, the unused portion expires. Bonuses granted before October 10, 2026 without a stated validity period remain valid until November 30, 2026;
• there is a cap on the accumulated active bonus per account (currently 500,000 tokens) and a limit on rewarded referrals per month (currently 5);
• a referral only generates a bonus after the referred person creates a new account, confirms their phone number and e-mail, and uses the app for a few days; the referred person's trial period and the referral reward are granted only once per verified phone number and per app installation. Self-referral, duplicate accounts, or repeated devices, phone numbers or installations do not generate bonuses or a new trial period;
• the bonus is not money, is non-refundable and cannot be transferred, sold or exchanged;
• we may cancel bonuses and trial periods obtained through fraud or abuse.

To prevent repeated use of benefits, we keep only an irreversible code (hash) of the verified phone number and of the random app installation identifier, in accordance with the Privacy Policy.

5. Acceptable Use

You agree to use Theros only for personal and lawful purposes. The following is expressly prohibited:

• Using the app for illegal or fraudulent activities or activities that violate the rights of third parties.
• Attempting to access other users' data or reverse engineering the app.
• Using automated tools to access the service abusively or overload the infrastructure.
• Using the e-mail sending feature for spam, phishing or unsolicited communications.
• Sharing your account or credentials with third parties.

Fair use. It is also prohibited to use the service in a way that generates abnormal resource consumption, such as automating mass calls, attempting to circumvent limits, reselling access, creating multiple accounts to obtain bonuses or free trial periods, or sending content of extraordinary size. In case of abuse, we may apply additional limits, pause the AI feature or terminate the account, under the terms of section 18.2.

6. Artificial Intelligence

6.1 Nature of the responses

The Theros AI assistant (text chatbot, voice commands and voice chat) uses artificial intelligence models, primarily Google Gemini, to provide financial suggestions and insights. AI responses are for informational purposes only and do not constitute professional financial, legal, accounting or investment advice.

6.2 Limitations and responsibilities

• The AI may make mistakes and provide inaccurate, outdated or incomplete information.
• All financial decisions are your sole responsibility.
• Theros is not liable for financial losses or for direct, indirect, incidental or consequential damages arising from AI suggestions.
• For important financial decisions, always consult a qualified professional (accountant, financial advisor, attorney).
• Scheduled agents and web search may use information from the internet that may be outdated or inaccurate.
• The quality, style and speed of responses may vary depending on the model used at any given time.
• Rating responses. You can rate responses with a thumbs up or thumbs down. Rating is voluntary. The text of the response and of your message is only sent for review if you check that option when rating; do not write sensitive data about third parties in the comment. Processing follows the Privacy Policy.

6.3 Use of data by the AI

To generate contextualized responses, Theros sends the content of your conversation and the necessary context (for example, a summary of the data you have already recorded in the app, such as transactions, budgets and goals) to artificial intelligence processors engaged by us. The main one is Google (Gemini, via Google Cloud Vertex AI); for general text conversations, Theros may also use other model providers, including through intermediaries, in accordance with section 5.9 of the Privacy Policy. Health data, documents and photos are only processed under the conditions described in that section. We choose the most suitable model and processor for each task and may change them without individual notice, while maintaining the data protection rules of the Policy.

Data is sent to generate the requested response. We do not use your content to train our own AI models and we select processors and configurations that, according to their terms, do not use content received through the API for training. Some processors may keep temporary copies for a limited period, for security and abuse detection, in accordance with their own rules. For more details, see the Privacy Policy.

6.4 Voice chat

• Voice chat sends the audio to the Google Cloud speech recognition service, which transcribes it; the text follows the same path as text chat and the response is spoken by the Google Cloud voice service.
• The audio of your voice and of the response is not recorded or stored by Theros.
• Voice sessions are subject to duration limits according to your plan.
• The quality and availability of voice chat depend on your internet connection.

6.5 Health, nutrition and well-being

• The appointments, medical tests, medications, nutrition, workout, mood and well-being features are meant for organization and reminders. Theros is not a medical device; it does not diagnose, does not prescribe medication, doses, diets or workouts, and does not replace a physician, nutritionist or other healthcare professional.
• Calories and macros, including those estimated by AI from a photo, are estimates and may differ from actual values. Reading a prescription from a photo may be inaccurate: check each item before saving. Responsibility for the use of medications and for your health decisions is yours.
• In case of an emergency or serious symptoms, seek medical care immediately; do not rely on the app.
• When recording health data of family members or dependents, you represent that you have authorization or standing to do so (for children and legally incapacitated persons, as their legal guardian) and you are responsible for that record. See the Privacy Policy, sections 3.17 and 3.18.

7. Google Integrations

7.1 Consent and optional nature

All integrations with Google services (Calendar, Gmail) are entirely optional and are only activated with your explicit authorization through Google's OAuth 2.0 authentication flow. The app works fully without any active integration.

7.2 Google Calendar

• When you connect, Theros syncs your calendar events for display and management in the app.
• You can disconnect at any time in the app settings.

7.3 Gmail — Scope and Limited Use

What Theros does with Gmail access:

1. Reading e-mails (gmail.readonly): allows you to view your e-mails within the app and automatically detect financial transactions from banks and payment institutions (Nubank, Inter, Itau, Bradesco, C6, PicPay, Mercado Pago, PayPal) using regular expressions processed locally on your device.
2. Sending e-mails (gmail.send): allows you to send e-mails directly from the app (e.g., financial reports, communications with contacts). Sending is entirely initiated and controlled by you.
3. Labels (gmail.labels): allows you to view and create labels to organize your e-mails.

What Theros does NOT do with your Gmail data:

• Does not store the full content of e-mails on our servers or database.
• Does not send Gmail data to artificial intelligence (Gemini) or any third-party service.
• Does not use Gmail data for advertising, marketing, retargeting or profiling.
• Does not sell, share or transfer Gmail data to third parties.
• No human accesses your Gmail data, except with your explicit affirmative consent for support purposes, or when required by law.
• Does not perform server-side processing — all reading and parsing of e-mails takes place locally on the device.

Data derived from Gmail that is stored:

• When a financial transaction is detected from a bank e-mail, only summary data is saved to your profile (amount, merchant, date and provider). The body of the e-mail is not stored.
• E-mails sent from the app: recipient, subject, body and date sent are saved in your history of sent e-mails for your personal reference.

Gmail access is not a requirement for using the app. Theros works fully without the Gmail integration. You decide whether, when and for how long you wish to keep the integration active.

7.4 Revocation of access

You can revoke Theros's access to Google services at any time:

• In the app settings (Settings > Gmail / Calendar).
• Directly at myaccount.google.com/permissions.

Revocation is immediate. Authentication tokens are invalidated and no new access is possible until you authorize again.

7A. Amazon Alexa Integration

Theros offers an official skill called Meu Theros for Amazon Alexa, which lets you control the app with voice commands on Echo devices or through the Alexa app.

7A.1 Account linking

• Linking is done via OAuth 2.0 with a 6-digit pairing code generated within Theros (Profile tab, "Connect Alexa" option).
• Theros does not request or store your Amazon credentials. Amazon does not receive your Theros credentials.
• Linking generates a token valid for 30 days, renewed automatically while the skill is enabled.

7A.2 Features available by voice

The skill performs a subset of Theros's features optimized for voice use:

• Logging expenses and income, checking balance and financial summaries.
• Adding, completing and listing tasks; checking productivity statistics.
• Adding items to shopping lists; creating reminders.
• Checking calendar, notes, habits, goals and budgets.
• Logging mood and checking the daily summary.

7A.3 Skill limitations

• Editing and deleting existing items are not available by voice, to prevent accidental actions without visual confirmation. Use Theros on your phone for these operations.
• PDF reports, charts, contract management, statement import and advanced settings are available only in Theros, not through the skill.
• Open-ended questions answered by artificial intelligence via Alexa are subject to your plan's monthly token limit. Direct commands (log an expense, check balance, etc.) work on all plans, including the free plan.

7A.4 Voice processing

• Amazon transcribes your speech into text on its side before sending it to Theros. We never receive or store raw audio.
• Theros stores command telemetry (transcribed text, recognized intent, latency and result) for diagnostics and continuous improvement of the skill.

7A.5 Revocation of access

• To unlink, open the Alexa app on your phone, go to More, Skills, Meu Theros, and tap Disable.
• Revocation is immediate: the Theros token associated with your Alexa account is invalidated and no further voice commands will be accepted until you link again.
• When you delete your Theros account, any existing Alexa link is automatically revoked.

7A.6 Compliance with Amazon policies

Use of the Meu Theros skill is also subject to the Alexa Terms of Use and the Amazon Privacy Notice. Theros is not responsible for the policies, availability or behavior of the Alexa platform outside the scope of the official skill.

8. User Data and Content

8.1 Ownership

• You are the sole owner of the data you enter into Theros.
• Theros does not claim ownership of your financial data, notes, tasks, contacts or any content created by you.
• You grant Theros a limited, non-exclusive and revocable license to process your data exclusively to provide the app's features.

8.2 Responsibility for content

• You are responsible for the truthfulness, accuracy and lawfulness of the data you enter.
• You are responsible for the content of e-mails sent through the app.
• You are responsible for the prompts and instructions given to scheduled agents.
• You are responsible for the calendars by link (ICS) you subscribe to, for the API keys and webhook destinations you create, for the automation rules you define and for the messages you send through Telegram or WhatsApp, including when they contain third-party data. Keep API keys and secret calendar addresses like passwords. Telegram is only available once the Theros bot is published, and your conversations with bots do not use end-to-end encryption.
• Ideas, notes, canvases and attachments are your content; Theros does not use them for any purpose other than providing the service and the AI functions you trigger.

8.3 Portability and export

• You can export your financial data at any time in JSON format (full backup) or PDF (reports).
• You can view, edit or delete your data directly in the app.

9. Sharing and Collaboration Features

9.1 Sharing tasks and Kanban boards

• Theros allows you to share tasks and Kanban boards with other users using the recipient's e-mail.
• When sharing, you set the access level: read-only or edit.
• You are responsible for choosing what data to share and with whom.
• You can revoke sharing at any time.
• The recipient will have access only to the data specifically shared.

9.2 Sending e-mails and communications

• The e-mail sending feature uses the Gmail API to send messages on your behalf.
• You are solely responsible for the content and recipients of the e-mails sent.
• Sending bulk e-mail must comply with applicable Brazilian law, including the Marco Civil da Internet (Brazilian Internet Civil Rights Framework, Law 12.965/2014) and anti-spam regulations.
• Theros is not responsible for misuse of the e-mail sending feature.

10. Location Services

• Location features (saved places and location-based reminders) are optional and require your explicit authorization to access the device's location.
• Processing of location-based reminders takes place locally on the device — your real-time location is not sent to our servers.
• You can disable location access at any time in your operating system settings.
• If you disable it, location-dependent features will become unavailable, but no data will be lost.

11. Contacts

• Theros does not access your phone's address book. All contacts are registered manually by you within the app.
• Contacts are stored in Firestore linked to your account and accessible only by you.
• You are responsible for having the appropriate consent to store third-party data (such as contacts' e-mail addresses and phone numbers).
• You can edit or delete contacts at any time.

12. OCR and Image Processing

• The OCR feature has two processing modes:

a) Local processing (Google ML Kit):

• Basic text recognition takes place on the device (on-device ML), without sending data to servers.

b) Cloud processing (Google Gemini):

• For structured and intelligent extraction (automatic categorization, detection of items, amounts and dates), images are sent to Google Gemini via Firebase Storage.
• Images are stored in Firebase Storage linked to your account.
• The extracted data (amount, merchant, date, items, suggested category) is saved in Firestore for the creation of transactions.
• When you delete your account, all OCR images and data are permanently removed.

12A. Automatic Data Processing

Theros performs periodic automatic processing for app features:

12A.1 Proactive financial check-in (Premium)

• Runs daily at 09:00 (Brasilia time) for Premium users.
• Collects aggregated data (budgets, goals, previous day's spending) and sends it to Google Gemini to generate a motivational summary.
• The result is stored in Firestore and sent as a push notification.

12A.2 Recurring transactions

• Runs daily at 06:00 (Brasilia time).
• Automatically creates transactions in your financial records based on the recurring income and expenses you have set up.
• Does not send data to Google Gemini — internal processing only.

12A.3 User directory for collaboration

• To enable sharing of tasks and Kanban boards, the app provides an internal user search by name or e-mail.
• When you use the app, your name, e-mail and profile photo may be visible to other Theros users who use this collaboration feature.

13. Service Availability

• Theros is provided "as is" (as is) and "as available" (as available).
• We do not guarantee uninterrupted, error-free or vulnerability-free availability.
• Features may be added, modified or removed at our discretion, with prior notice whenever possible.
• Third-party services (Google, Apple, RevenueCat) have their own terms — interruptions in these services may affect Theros features.
• Features that depend on AI, OCR and voice require an internet connection.

13.1 Push notifications

Push notifications sent by Theros may contain summarized financial data (e.g., merchant name, transaction amount, budget alerts). This information is visible on the device's notification screen. To protect your privacy, you can manage which notifications you receive in your device's operating system settings.

14. Limitation of Liability

Theros is not liable for:

• Financial or other decisions of any kind made based on the information or suggestions of the app, including AI responses.
• Direct, indirect, incidental, consequential or punitive financial losses of any kind.
• Errors in calculations, projections, insights or AI suggestions.
• Service unavailability, or loss of data due to technical failures or force majeure.
• Content of e-mails sent by you or actions of third parties concerning your account.
• Failures in third-party services (Google, Apple, RevenueCat).

To the maximum extent permitted by Brazilian law, Theros's total liability to you, for any cause and regardless of the form of action, will be limited to the amount actually paid by you to Theros in the 12 (twelve) months preceding the event giving rise to the claim, or R$ 100.00 (one hundred reais), whichever is greater.

15. Disclaimer of Warranties

To the maximum extent permitted by law, Theros is provided without warranties of any kind, express or implied, including, without limitation, warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy or availability.

• We do not guarantee the accuracy of AI responses, transaction detection or OCR.
• We do not guarantee the continuous availability of any features.

16. Intellectual Property

• The Theros app, including its source code, design, logos, icons, text, brand and visual identity, is the exclusive property of the developer and is protected by Brazilian intellectual property laws (Law 9.609/1998 and Law 9.610/1998).
• Reproduction, distribution, modification, reverse engineering or unauthorized use of any element of the app is prohibited.
• Content generated by the AI within the app is not protected by Theros copyright — you may freely use the responses and insights generated.

17. Indemnification

You agree to defend, indemnify and hold harmless Theros, its developers, directors, employees and service providers from and against any claims, damages, obligations, losses, liabilities, costs or debts and expenses (including, but not limited to, attorneys' fees) arising from:

• Your use of or inability to use the app.
• Violation of these Terms of Use.
• Content of e-mails or communications sent by you through the app.
• Violation of third-party rights by your conduct when using the app.

18. Account Termination

18.1 By you

• You can terminate your account at any time through the "Delete Account" option in the app (Profile > Settings).
• When you delete the account, all of your data will be permanently and irreversibly removed from our servers.
• Deletion does not automatically cancel active subscriptions — cancel your subscription in the app store before deleting your account.

18.2 By us

• We reserve the right to suspend or terminate accounts that violate these terms, with prior notice whenever possible.
• In the event of a serious violation (illegal activity, spam, hacking attempts), suspension may be immediate without prior notice.
• You will be notified of the reason for the suspension or termination by e-mail.

19. Force Majeure

Theros will not be liable for failures or delays in performing its obligations resulting from causes beyond our reasonable control, including, but not limited to: natural disasters, epidemics, pandemics, wars, cyberattacks, internet infrastructure failures, interruptions of third-party services (Google, Apple, Firebase), governmental or regulatory acts, or any other force majeure circumstances.

20. Dispute Resolution

20.1 Attempt at amicable resolution

Before initiating any formal proceeding, the parties agree to attempt to resolve any dispute amicably, through communication by e-mail (rafaelfurlan@lunanexgen.com), within a period of 30 (thirty) days.

20.2 Mediation

If the attempt at amicable resolution is unsuccessful, the parties may submit the dispute to mediation, pursuant to Law 13.140/2015.

20.3 Venue

Any dispute not resolved amicably or through mediation will be submitted to the courts of the judicial district of the user's domicile, as provided in the Código de Defesa do Consumidor (Brazilian Consumer Protection Code, Law 8.078/1990, Art. 101, I).

21. Governing Law

These Terms of Use are governed exclusively by the laws of the Federative Republic of Brazil, including, but not limited to:

• Código Civil (Civil Code, Law 10.406/2002)
• Código de Defesa do Consumidor (Consumer Protection Code, Law 8.078/1990)
• Lei Geral de Proteção de Dados — LGPD (General Data Protection Law, Law 13.709/2018)
• Marco Civil da Internet (Internet Civil Rights Framework, Law 12.965/2014)
• Lei de Direitos Autorais (Copyright Law, Law 9.610/1998)
• Lei de Software (Software Law, Law 9.609/1998)

22. General Provisions

22.1 Entire agreement

These Terms of Use and the Privacy Policy constitute the entire agreement between you and Theros regarding the use of the app, superseding any prior agreements, communications or proposals.

22.2 Severability

If any provision of these Terms is held invalid, illegal or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

22.3 Waiver

Theros's failure to exercise or enforce any right or provision of these Terms will not constitute a waiver of such right or provision. Any waiver will only be effective if made in writing.

22.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without the prior written consent of Theros. Theros may assign its rights and obligations upon prior notice to you.

23. Changes to the Terms

We may update these Terms of Use periodically to reflect changes in features, legal requirements or service practices. Significant changes will be communicated by in-app notification and, where possible, also by e-mail, at least 15 (fifteen) days in advance. Continued use of Theros after the effective date of the changes constitutes acceptance of the new terms. If you do not agree with the changes, you must stop using the app.

Changes to the limits, allowance or method of counting usage that reduce what is included in the plan you subscribed to will be announced in the app and by e-mail at least 30 (thirty) days in advance, and you may cancel your subscription during that period, at no additional cost, through the app store.
